Main Responsibilities
- Lead and supervise the Legal Department, providing guidance, mentoring, and oversight to legal team members.
- Act as the primary legal advisor to senior management on corporate, commercial, operational, and regulatory matters.
- Develop legal strategies to support business objectives while minimizing legal and commercial risks.
- Provide practical and commercially focused legal advice to internal stakeholders. Oversee the drafting, review, negotiation, and execution of commercial agreements, contracts, and legal documents.
- Provide strategic legal support for Gas Sales Agreements (GSA), Heads of Agreement (HOA), Joint Venture Agreements, service contracts, procurement contracts, and other commercial arrangements.
- Ensure contractual terms adequately protect the Company’s legal and commercial interests.
- Oversee all corporate secretarial matters and ensure compliance with statutory and corporate governance requirements.
- Manage board resolutions, shareholder matters, corporate filings, and maintenance of corporate records.
- Support the establishment and administration of new entities, joint ventures, and corporate restructuring activities.
- Review and advise on lease, purchase, marketing, and operational agreements. Monitor legal and regulatory developments affecting the Company's operations.
- Lead compliance initiatives and ensure adherence to applicable laws, regulations, and industry standards.
- Identify, assess, and mitigate legal and regulatory risks associated with business activities and strategic decisions.
- Develop and implement legal policies, procedures, and governance frameworks Manage relationships with regulators, government authorities, external legal counsel, business partners, and other stakeholders.
- Lead negotiations involving complex legal, commercial, and regulatory matters.
- Lead the management of disputes, claims, litigation, arbitration, and regulatory investigations.
- Develop and implement effective dispute resolution and risk mitigation strategies.
- Protect the Company's interests in contentious matters and settlement negotiations.
- Coordinate and oversee external legal advisors to ensure cost-effective and efficient legal support.
Requirements
Main Requirements
- Master's Degree in Law
- Qualified legal practitioner/admitted lawyer preferred.
- Minimum 8–12 years of relevant legal experience, preferably within the oil & gas, energy, natural resources, or related industries.
- Strong experience in commercial contracts, corporate law, joint ventures, regulatory compliance, and corporate governance.
- Proven leadership experience managing legal teams and external counsel.
- Excellent negotiation, communication, analytical, and stakeholder management skills.
